Subject: Important Notice to Members – Announcement of Special General Meeting to consider a Resolution to put Alliance Francaise
de Hamilton Incorporated into Liquidation
Dear Members, It is with great regret that the Committee of Alliance Française de Hamilton Incorporated informs you of a significant decision regarding the future of our organisation. After comprehensive financial analysis and careful consideration of all available options, the Committee has received advice that due to increasing losses and ongoing shortfalls in projected future revenue the organisation will not be able to meet payments as they fall due. This means that it is insolvent. We cannot legally advertise and sell places for Term 1 2026 if we will not be able to deliver them, and under the Incorporated Societies Act 2022 we are now required to request Members to resolve to put the society into liquidation. We have emailed current financial members full details of our financial situation, including P&L and Balance sheet for the 12 months to 31 October 2025, and the 2026 forecast. Given the information set out in the email, the Committee is unanimously of the view that entering liquidation is the most prudent and responsible decision to protect the organisation, its members, and its obligations. It is also the most responsible action to take with regards to creditors. We have already advised the Cultural Service of the French Embassy of the situation. Special General Meeting A Special General Meeting will be held to formally present the situation, answer questions, and proceed with the required resolutions. The following sections of our Constitution apply to Winding up, but according to the insolvency practitioner the meeting on 6 December can make a Full & Final decision to put the organisation into liquidation immediately given that we are already aware we will not be able to meet our future obligations before any subsequent General Meeting. 18 Winding up 18.1 On the dissolution of the Society by the Registrar or its liquidation pursuant to a resolution of the Members, or by the High Court, or otherwise, the surplus assets after payment of all debts, costs and liabilities shall be disposed of to another Alliance Francaise operating in New Zealand which has charitable status at law and in the absence of an entity having that status, the surplus property or assets must be applied to advance a charitable purpose or purposes. 18.2 A resolution of Members to liquidate the Society must be approved at a General Meeting and that resolution must be confirmed at a subsequent General Meeting called for that purpose and held not earlier than 20 Working Days after the date on which the resolution to be confirmed was passed. The resolution of Members to the liquidation of the Society and the subsequent confirmation of Members must be approved by an Ordinary Resolution in each case. 18.3 In particular no surplus assets of the Society shall be paid or distributed to or among the members or employees of the Society so as in any way to create a pecuniary benefit for any of them We strongly encourage all members to attend, as your presence and participation are important at this critical moment in our organisation’s history. We understand that this news will come as a disappointment to many. The Committee shares this sentiment deeply.
